How to Choose an iGaming M&A Broker: 10 Questions to Ask

Choosing a broker is one of the most important decisions in selling an online casino, sportsbook or affiliate business. These ten questions help separate brokers who can deliver from those who mainly collect listings.

1. How many deals have you closed, and of what type?

Ask for the number of completed transactions, not mandates or listings, and the split by asset type. A broker who mostly sells affiliate sites may not be the right choice for a licensed operator, and vice versa.

2. How long do your deals take?

A median time to close gives a realistic expectation. Ask how it changes when regulator approval is needed.

3. How do you value the business?

A good answer explains the method (EBITDA, SDE, NGR cross-checks), the normalisation and the adjustments, and gives a range rather than one number. Be wary of a broker who quotes a high figure without showing the working.

4. How do you protect confidentiality?

Look for blind teasers that do not reveal the brand or domain, NDAs before any detail is shared, and staged data room access.

5. Who are your buyers?

Ask how many qualified buyers the broker works with, how they are qualified, and which types – operators, affiliate groups, investors, B2B companies – are active for your asset.

6. How do you handle licensing?

The broker should be able to explain the structure options for your licence position and work with gaming lawyers on change-of-control questions.

7. What is your fee, and when is it payable?

Understand the commission rate, the base it is calculated on, any minimum fee, whether anything is payable upfront, and what happens if you sell to a buyer the broker did not introduce.

8. Is the mandate exclusive?

Exclusive mandates usually come with stronger commitment from the broker but restrict your options. Check the length, renewal and termination terms.

9. Who manages escrow and handover?

The handover of domains, accounts, data and payments is where digital deals go wrong. Ask how the broker coordinates it.

10. Who will I actually work with?

At some firms, a senior person wins the mandate and a junior runs it. Know who your day-to-day contact is.
